AGREEMENT FOR THE SALE AND PURCHASE OF REAL ESTATE NO BROKER – VACANT RESIDENTIAL LAND

AGREEMENT TO SALE AND PURCHASE

Creekside Developments, LLC (“Seller”) agrees to sell, and Buyer agrees to buy, the real property identified by its Parcel ID and Legal Description as specified in the purchase agreement. All property sold is referred to as the “Property.”

SALES PRICE

The total purchase price is broken down as follows:

Purchase Price: As stated in the agreement
Down Payment: Paid at signing
Remaining Balance: Due per payment terms selected (cash or installment)

PAYMENT OPTIONS

Cash Purchase: This is a cash transaction and is not contingent on Buyer obtaining financing. Buyer shall deliver the full remaining balance no more than three (3) days after the agreement is executed. Failure to pay by the specified date constitutes an immediate default. Seller may terminate the agreement and retain the document fee.

Installment / Owner-Financed Purchase: The remaining balance will be paid in monthly installments as specified in the Promissory Note. No interest is charged (0% interest). Monthly payments include estimated property taxes and a Note Servicing Fee of $10. Buyer may prepay any portion of the outstanding principal at any time without penalty.

A one-time, non-refundable document processing fee is due at signing for both payment options.

PROMISSORY NOTE (Installment Purchases)

Buyer promises to pay Creekside Developments, LLC the principal amount as specified. Monthly payments begin approximately 30 days from the effective date. Payments are applied first to any applicable fees, then to reduction of principal. Buyer will receive an auto-payment link via email to set up monthly payments.

PROPERTY CONDITION (AS-IS)

The Property is sold AS-IS, WHERE-IS, WITH ALL FAULTS, known or unknown. Seller makes no warranties regarding:

Legal or physical access
Utilities or utility availability
Soil, environmental, or geological conditions
Acreage or boundary accuracy
Zoning or permitted use
Mineral rights

Buyer acknowledges they have conducted all inspections and due diligence prior to signing.

UTILITIES

Utilities may or may not be available. Buyer is solely responsible for verifying water, sewer, septic, electrical power, internet, and all related permits with the county and utility providers.

USE OF PROPERTY

Buyer may use the Property while making payments but must comply with all applicable county, state, and federal laws, regulations, and ordinances.

Unless the land is fully paid off or Seller grants prior written permission, Buyer may NOT:

Reside or live on the Property
Camp long-term on the Property
Install or connect utilities (electric, water, gas, sewer, septic, RV hookups, etc.)
Construct or place any temporary or permanent structures (sheds, cabins, tiny homes, storage containers, foundations, fencing, etc.)
Store vehicles, equipment, or personal property long-term
Dump trash, debris, or hazardous materials
Remove significant timber or natural resources
Conduct mining, drilling, or resource extraction of any kind
Discharge firearms in violation of local laws
Engage in any activity that creates code violations or environmental harm

POSSESSION AND TITLE

For Cash Purchases: Possession transfers to Buyer upon closing and recording of the deed.

For Installment Purchases: Buyer does not receive legal possession or title to the Property until the land is fully paid off and the deed is recorded in Buyer’s name. Recreational use of the Property is permitted during the term of the contract.

CLOSING

The closing of the sale will occur on or before the date specified in the agreement, unless extended by mutual written agreement. Either party may extend closing up to seven (7) days to cure title objections. Buyer acknowledges this is a direct close with no escrow or title company involved.

TITLE AND CONVEYANCE

For Cash Purchases: Seller will convey title by Special Warranty Deed unless state law requires another form.

For Installment Purchases: Upon full payment of all amounts due, Seller will prepare a Warranty Deed conveying title to the Property. Seller will send the deed to Buyer for review and approval prior to recording. Once Buyer approves, Seller will record the deed with the appropriate county recorder within 30 days. A copy of the notarized deed will be provided to Buyer.

Seller represents that marketable title will be conveyed subject to standard exceptions. Buyer may obtain a title search or title insurance at their own expense.

CLOSING COSTS AND EXPENSES

If the parties elect to close through a title company, costs are allocated as follows:

Attorney Fees / Title Company Fees: Buyer
Title Insurance: Buyer
Title Abstract or Certificate: Buyer
Recording Fees: Seller
Appraisal: Buyer
Survey: Buyer
Transfer Taxes: Seller

Taxes and assessments shall be prorated through closing.

TAXES (Installment Purchases)

Monthly estimated property taxes are included in the Buyer’s monthly payment. If the county increases property tax rates, Seller will notify Buyer in writing, and Buyer will be responsible for the increased amount beginning with the next billing cycle after notice.

LATE FEES AND DEFAULT

A payment is considered late if not received within 5 calendar days of the due date. A $25 late fee will apply.

For Cash Purchases: Failure to pay the full balance by the specified date constitutes an immediate default. Seller may terminate the agreement and retain the document fee.

For Installment Purchases: Buyer is considered in default after 30 days of nonpayment. Seller will provide written notice of default by email. Buyer will then have an additional 10 calendar days to cure the default. If Buyer fails to cure within the 10-day cure period (40 days total from the original due date), Seller may terminate the contract, retain all payments made, and reclaim all rights, title, and interest in the Property without further notice.

Under the Promissory Note, Borrower is in default if any payment remains unpaid for more than 30 days after the due date. Upon default, Lender will provide written notice by email, and Borrower will have 15 calendar days from the date of notice to cure the default.

Seller may, at Seller’s sole discretion, offer a temporary payment extension or alternative arrangement. Any such accommodation must be in writing and applies only to the specific instance referenced.

If Buyer defaults, Seller may retain the down payment as liquidated damages. If Seller defaults, Buyer may cancel and receive a refund of the down payment.

MONEY BACK GUARANTEE (Installment Purchases Only)

A 60-Day money back guarantee applies only to owner-financed (“terms”) purchases. To qualify, Buyer must be current on all payments. Buyer may request a refund of all payments made toward the principal balance within 60 calendar days of the Effective Date. All processing fees, document fees, and other administrative fees are non-refundable. Refund requests must be submitted in writing to Seller. No refunds are available after the 60-day period has expired. This guarantee does not apply to cash purchases or to any transaction in which Buyer has already approved the deed for recording.

VIOLATIONS

If any government agency notifies Seller of a violation arising from Buyer’s use of the Property, Buyer must resolve the violation and pay any related fines or fees within 10 calendar days of Seller’s written notice. Failure to resolve such violations within 10 days constitutes an immediate default and may result in termination of the contract and forfeiture of all payments made, at Seller’s discretion.

ASSIGNMENT

Buyer may not assign, transfer, or sell this agreement or Buyer’s interest in the Property without Seller’s prior written consent. Any approved assignee must sign a new contract package acceptable to Seller before any assignment is valid. Until that occurs, the original Buyer remains responsible for all obligations.

RECORDING (Installment Purchases)

This contract shall not be recorded in any county or public records. Buyer shall not take any action that would cloud or encumber Seller’s title to the Property during the term of this contract.

BUYER CONTACT INFORMATION

Buyer agrees to notify Seller in writing of any change to mailing address, email address, or telephone number within five (5) days of such change. Written notice may be delivered by email, certified mail, or any other method that provides proof of delivery. Failure to update contact information does not relieve Buyer of any obligations, and any notices sent to the last known contact information on file shall be deemed properly delivered.

APPRAISAL AND SURVEY

Optional and at Buyer’s expense.

FEDERAL TAX REQUIREMENT

Seller shall provide the required affidavit stating whether Seller is a “foreign person” under IRS rules.

ATTORNEY’S FEES

The prevailing party in any legal proceeding related to the purchase agreement is entitled to reasonable attorney fees. Buyer also agrees to pay all reasonable collection costs and attorney’s fees incurred by Seller in enforcing the Promissory Note.

DISCLOSURES

No guarantee of legal or physical access.
No utilities are guaranteed.
No survey is provided unless Buyer obtains one.
Property is vacant, unimproved land.

FINAL SALE / NO POST-CLOSING RIGHTS (Cash Purchases)

Upon transfer of title, the sale is final, absolute, and non-refundable. No rescission, refund, exchange, or inspection period will be provided for any reason.

ENTIRE AGREEMENT

This written agreement contains the entire understanding of the parties. It supersedes all prior discussions, advertisements, representations, or agreements, whether oral or written. No verbal statements, emails, text messages, or informal explanations will modify the written terms. Any changes or amendments must be in writing and signed by both Buyer and Seller.

GOVERNING LAW AND JURISDICTION

The purchase agreement is governed by the laws of the State of Georgia. Jurisdiction and venue for any action arising out of or relating to the Promissory Note shall be in the courts of the State of Arizona, unless otherwise required by law.

NOTICES

All notices must be in writing. For cash purchases, notices are delivered to the addresses on file. For installment purchases, notices may be delivered by email to the email address Buyer provides to Seller, and email delivery constitutes valid written notice for all purposes under the contract.
